Subprocessors

This page describes the categories of third-party service providers (“Subprocessors”) that Alison Prime LLC (“Alison Prime”, “we”, “us”, or “our”) may use to help deliver services to our clients. These Subprocessors may Process Personal Data on our behalf in connection with the services we provide.

This Subprocessors page is intended to complement our Data Processing Addendum (DPA) and Terms of Service. Capitalized terms used here have the meanings given in those documents, unless otherwise defined.

We take care to engage Subprocessors that implement appropriate technical and organizational measures to protect Personal Data, and we require them to process Personal Data only as needed to provide their services to us.

2. What Is a Subprocessor?

A Subprocessor is a third-party service provider that Processes Personal Data on behalf of Alison Prime in order to help us deliver services to our clients. This may include infrastructure providers, communication tools, analytics platforms, and other technical or professional services.

For example:

  • A hosting provider that stores website or application data
  • A ticketing or project management tool where we track tasks and support requests
  • An email service used to send project-related communications

Subprocessors do not determine the purposes and means of Processing Personal Data; they operate under our instructions and are subject to appropriate contractual obligations.

3. How We Choose and Manage Subprocessors

When we select Subprocessors, we consider factors such as:

  • Security and reliability of their infrastructure and practices
  • Their reputation and track record
  • The contractual commitments they provide around data protection and confidentiality
  • Their ability to support compliance with Applicable Data Protection Laws

We only use Subprocessors where it is reasonably necessary to deliver or improve the services we provide to our clients.

We require Subprocessors to:

  • Process Personal Data only as necessary to provide their services to us
  • Implement appropriate technical and organizational security measures
  • Maintain confidentiality and limit access to authorized personnel
  • Assist us, where relevant, in meeting our obligations under data protection laws

Where required by Applicable Data Protection Laws, we maintain agreements with Subprocessors that include data protection terms no less protective than those in our DPA.

4. Categories of Subprocessors We May Use

The exact Subprocessors we use may vary depending on the specific services we provide to a client, the technology stack involved, and the hosting or tools chosen for a project. However, they generally fall into the following categories:

4.1 Infrastructure and Hosting Providers

These Subprocessors provide hosting, storage, and infrastructure services that may involve the Processing of Personal Data, for example:

  • Cloud hosting or virtual servers
  • Managed databases
  • Content delivery networks (CDNs)
  • Backup and disaster recovery services

4.2 Website and Application Platforms

These Subprocessors provide platforms and tools that we may use to build, deploy, or maintain websites and web applications, for example:

  • Content management systems or platform-specific services
  • Deployment and configuration tools
  • Logging and error tracking tools

4.3 Communication and Collaboration Tools

These Subprocessors help us communicate with our clients and manage project discussions and support:

  • Email sending and inbox services
  • Video conferencing tools
  • Chat or messaging tools
  • Documentation and file-sharing platforms

4.4 Project Management and Support Tools

These Subprocessors help us organize and track work, tasks, and issues:

  • Project management and kanban tools

These Subprocessors help us monitor and analyze performance and behavior of websites or applications, where such monitoring is in scope for the services being provided:

4.6 Professional Advisors and Administrative Services

In some cases, we may rely on professional service providers who may Process limited Personal Data incidentally, for example:

  • Accounting, billing, or invoicing tools and providers
  • Legal or compliance advisors
  • Business administration and productivity tools

Such providers typically have access only to limited Personal Data (for example, invoicing contact information or contract details) and are bound by confidentiality obligations.

The table below provides an illustrative overview of Subprocessor categories and example purposes. It is not an exhaustive or static list of specific vendors but is intended to give transparency about the types of providers we may rely on.

Depending on the specific project, some categories may not be used at all, or additional categories may be involved as agreed with the Client.

6. Client-Specific or Self-Selected Providers

In many projects, the Client chooses or already uses certain providers, such as:

  • Their own hosting company or cloud account
  • Their preferred email, CRM, or analytics tools
  • Payment gateways or financial service providers

Where the Client requires us to work within such systems, those providers are generally considered the Client’s own processors or independent controllers, not Subprocessors of Alison Prime. In those cases:

  • The Client remains responsible for its relationship with those providers and for ensuring appropriate data protection and security.
  • Alison Prime acts as a user or administrator in the Client’s environment, under the Client’s instructions, and may be considered a Processor (or sub-processor of the Client’s own processor) with respect to the data in those systems.

We encourage clients to review the terms and privacy policies of any third-party platforms they select and to ensure those platforms meet their regulatory and security requirements.

7. Location of Processing and International Transfers

Some Subprocessors may Process Personal Data in countries outside the jurisdiction where the data was originally collected, including:

  • The United States, where Alison Prime is based
  • Other locations where Subprocessors or their data centers operate

Where required by Applicable Data Protection Laws, we seek to ensure that such transfers are subject to appropriate safeguards, such as:

  • Standard contractual clauses or their successors
  • Adequacy decisions
  • Other lawful transfer mechanisms

8. Changes to Subprocessors

Our use of Subprocessors may change over time as we:

  • Introduce new services or features,
  • Optimize our infrastructure,
  • Replace or remove tools, or
  • Respond to changes in security, performance, or compliance needs.

We may update this Subprocessors page from time to time to reflect such changes at a category level. Where greater detail or specific notification is required by a DPA or by Applicable Data Protection Laws (for example, for certain clients or jurisdictions), we will provide appropriate notice and an opportunity to object as described in the DPA.

If a Client reasonably objects to a specific new Subprocessor for data protection reasons and no suitable alternative can be agreed, the Client may have a right to terminate the affected services, as described in the DPA or Principal Agreement.

9. How This Page Relates to the DPA and Privacy Policy

This Subprocessors page is intended to:

  • Provide transparency regarding the types of Subprocessors we may use
  • Support our commitments in our Data Processing Addendum (DPA)
  • Complement the information in our Privacy Policy

If there is any conflict between this page and the DPA, the DPA will generally govern for data protection matters between Alison Prime and the Client, while the Privacy Policy explains how Alison Prime handles Personal Data more broadly.
